This End User License Agreement ("Agreement") governs your use of any software-based virtual instrument, sample library, software product, expansion, remastered product, or related digital content developed, adapted, remastered, and/or licensed by Dominik Schulte, trading as Musical Arts School ("Licensor", "we", "us", or "our"), each a "Product" and collectively, the "Products".
Products may include both products originally developed by us and products based on or derived from products of third-party manufacturers that we are authorized to offer, distribute, or license to end users under arrangements with the respective manufacturers or rights holders.
Remastering, adaptation, development, or related work created for a third-party manufacturer or rights holder and intended to be distributed or licensed to end users exclusively by or on behalf of that third party is not a "Product" under this Agreement unless expressly stated otherwise.
This Agreement applies to all Products you lawfully acquire from us or through an authorized reseller, distributor, marketplace, or other authorized sales channel, unless separate or additional license terms are expressly provided for a particular Product.
By installing, registering, activating, or using a Product, you agree to be bound by this Agreement.
Subject to your compliance with this Agreement, we grant you a personal, non-exclusive, non-transferable license to install and use each lawfully acquired Product for your own musical production, composition, performance, recording, and related creative purposes.
The Products are licensed, not sold. Acquiring a Product does not transfer ownership of the Product, its software, samples, recordings, scripts, graphics, documentation, presets, impulse responses, or other included content to you.
You may use a Product to create musical works, recordings, performances, soundtracks, broadcasts, audiovisual productions, games, and other creative productions.
You may use such productions for both personal and commercial purposes.
You may release, distribute, perform, broadcast, license, and sell musical works and other productions created using a Product without paying additional royalties to us, provided that the Product or its included content is used as part of a musical, audiovisual, interactive, or other finished creative production and is not distributed in isolation or in a form that allows the original content to be extracted or reused as a sample library, virtual instrument, sound library, or similar product.
Where additional or different usage restrictions apply to a particular Product, including a Third-Party Remastered Product as defined below, those restrictions will be identified with that Product and will apply in addition to this Agreement.
A Product may contain recorded samples, impulse responses, presets, scripts, graphics, and other copyrighted or otherwise protected material ("Content").
You may use the Content as part of musical, audiovisual, interactive, and other finished creative productions created with the Product, subject to any additional terms applicable to a particular Product.
You may not:
These restrictions apply even if the Content has been edited, processed, converted, renamed, resampled, layered, transformed, or otherwise modified.
Certain Products offered or licensed by us may be based on, derived from, adapted from, or created as remastered versions of virtual instruments, sample libraries, software, or other digital products originally developed by third-party manufacturers ("Third-Party Remastered Products").
For the purposes of this Agreement, a "Third-Party Remastered Product" means only a remastered Product that we are authorized to offer, distribute, or license to end users under an arrangement with the respective original manufacturer or rights holder.
Third-Party Remastered Products are created and made available by us under arrangements with the respective original manufacturers or rights holders. The underlying third-party software, recordings, samples, trademarks, and other intellectual property remain the property of their respective owners.
Our contribution to a Third-Party Remastered Product may include, depending on the particular Product, adaptations, programming, optimization, configuration, processing, additional functionality, presets, user interfaces, workflows, performance improvements, or other modifications intended to provide our remastered or "Live" version of the original product.
The acquisition of a Third-Party Remastered Product does not transfer ownership of, or grant any rights in, the underlying third-party intellectual property except for the rights necessary to use the Product as authorized by the applicable license terms.
Depending on the particular Third-Party Remastered Product, use of the Product may require you to own or obtain a valid license for the corresponding original third-party product. Any such requirement will be identified in the applicable Product description or during the purchase, onboarding, registration, or activation process.
Where a Third-Party Remastered Product requires a separately licensed third-party product, your use of that third-party product remains subject to the license terms of its respective manufacturer or rights holder. This Agreement does not replace, amend, or supersede those third-party license terms.
You may not use a Third-Party Remastered Product to circumvent licensing, activation, copy-protection, access-control, or other restrictions applicable to the underlying third-party product.
Unless expressly permitted for a particular Product, you may not extract, redistribute, sublicense, resell, share, or otherwise make available any underlying third-party samples, recordings, software components, or other protected content contained in or accessible through a Third-Party Remastered Product.
References to third-party manufacturers, products, and trademarks are used solely to identify the relevant products and their compatibility, origin, or relationship to the applicable remastered Product. All third-party trademarks and other intellectual property remain the property of their respective owners.
Any additional or different licensing conditions applicable to a specific Third-Party Remastered Product will be identified with that Product and will apply in addition to this Agreement.
A Product may require registration and activation through software or services provided by Native Instruments, including Native Access, or through another activation or licensing system applicable to the particular Product.
Any serial number, license key, activation code, entitlement, or other credential supplied with a Product is intended solely for the lawful license holder of that Product.
You may not publish, share, sell, sublicense, rent, lend, or otherwise provide such credentials to another person except where a lawful license transfer has been expressly permitted under this Agreement and by any applicable activation or licensing platform.
You are responsible for keeping your serial numbers, license keys, activation codes, entitlements, and associated account credentials secure.
Certain Products may require Native Instruments Kontakt 8 Player, Kontakt, Native Access, or other software or services provided by Native Instruments GmbH. Other Products may require software, services, accounts, or platforms provided by other third parties.
Native Instruments GmbH and other third-party platform providers are separate companies and are not responsible for the development, sale, support, or content of our Products unless expressly stated otherwise.
Your use of third-party software and services is subject to the applicable terms and conditions of the respective provider.
"Kontakt", "Kontakt Player", "Native Access", "Native Instruments", and related names and trademarks are the property of their respective owners. All other third-party product names, company names, and trademarks are likewise the property of their respective owners.
A license for a Product may only be transferred to another person if:
You may not retain any usable copy of the transferred Product after a completed license transfer.
Where a technical or administrative license-transfer procedure is required, the transfer is not effective until that procedure has been completed.
A license transfer does not transfer any third-party license unless such transfer is separately permitted by the applicable third-party license terms and has been completed in accordance with the applicable third-party procedures.
Except where applicable law expressly permits otherwise, you may not:
Nothing in this Agreement restricts rights that cannot lawfully be restricted under applicable law.
You may create reasonable backup copies of downloaded Product files for your own use.
Backup copies remain subject to this Agreement and may not be provided to another person.
This permission does not grant any additional backup or copying rights with respect to separately licensed third-party products or content. Such rights remain subject to the applicable third-party license terms.
We will provide updates where and for as long as required by applicable law.
We may additionally provide optional updates, maintenance releases, corrections, improvements, additional functionality, replacements, or additional content at our discretion.
Unless expressly stated otherwise, purchasing a Product does not include a promise of perpetual feature updates, compatibility with all future software or hardware versions, or access to future major versions, successor products, expansions, or separately released content.
Unless required by applicable law or expressly stated otherwise, we do not guarantee that any Product will remain compatible indefinitely with future versions of operating systems, digital audio workstations, Kontakt, Native Access, computer hardware, third-party products, or other third-party software and services.
Changes made by operating-system vendors, platform providers, third-party manufacturers, activation providers, or other external services may affect compatibility or functionality.
The system requirements and any required third-party products stated for a particular Product at the time of purchase form the relevant technical requirements for that Product, subject to mandatory applicable law.
Before acquiring a Product, you are responsible for reviewing the published system requirements, compatibility information, required software, required third-party products, storage requirements, and activation requirements applicable to that Product.
Certain Products may require, for example, a compatible version of Kontakt or Kontakt Player, Native Access, a Native Instruments account, an Internet connection for installation or activation, sufficient storage space, and a supported operating system.
Specific technical requirements published on the applicable Product page or otherwise communicated before purchase take precedence over general examples contained in this Agreement.
Technical support for our Products is provided according to the support information published on our website.
We may require reasonable information about your system configuration, Product version, activation status, and relevant third-party software versions in order to provide support.
Unless expressly stated otherwise, our support relates to our Products and does not replace technical support provided by the manufacturer of any separately licensed third-party product.
All rights, title, and interest in and to our Products and our contributions to those Products, including copyrights and other intellectual property rights, remain with the Licensor and/or the respective rights holders.
Intellectual property originating from third-party manufacturers or rights holders remains the property of those respective parties. Nothing in this Agreement transfers ownership of any such third-party intellectual property to you or to us.
This Agreement grants you only the rights expressly stated herein. No ownership rights are transferred to you.
Products may be made available through FastSpring, Native Instruments, or other authorized resellers, distributors, marketplaces, or sales channels.
The identity of the seller or reseller, the purchase transaction, payment processing, applicable taxes, refunds, cancellation or withdrawal rights, and other matters relating specifically to the sale are governed by the terms and information presented by the applicable seller, reseller, distributor, marketplace, or sales channel at the time of purchase.
Where a Product is purchased through FastSpring, FastSpring acts as the Merchant of Record and authorized reseller for that transaction, and the applicable FastSpring Terms of Sale govern the purchase transaction.
Where a Product is purchased through Native Instruments or another authorized sales channel, the terms applicable to the purchase transaction are those presented by the applicable seller, reseller, distributor, marketplace, or sales channel.
This Agreement governs the license and permitted use of the Products and does not replace the terms applicable to the purchase transaction.
Nothing in this Agreement limits any mandatory consumer rights that apply to your purchase.
Refunds, chargebacks, payment reversals, cancellations, and other reversals of purchase transactions are handled in accordance with the terms, policies, payment-provider requirements, and legal obligations applicable to the sales channel through which the Product was purchased.
If the purchase price for a Product is validly refunded, charged back, reversed, cancelled, or otherwise returned, your license to use that Product may terminate, subject to applicable law and the circumstances of the applicable transaction.
Following valid termination of a Product license, you must cease using that Product and delete copies in your possession, except to the extent that applicable law provides otherwise.
Where technically possible and legally permissible, an associated Product activation, serial number, license key, entitlement, or other authorization may be revoked following a refund, chargeback, payment reversal, fraudulent transaction, cancellation, or other valid termination of the license.
Termination or revocation of a license issued by us does not itself terminate or modify any separately acquired third-party license, unless the applicable third-party terms or arrangements provide otherwise.
This Agreement remains effective for as long as you hold a license to use one or more Products.
Your rights relating to a particular Product may terminate if you materially breach the terms of this Agreement with respect to that Product and termination is permitted under applicable law.
Upon valid termination of a Product license, you must cease using that Product and delete copies of that Product in your possession, subject to any rights that cannot lawfully be excluded or restricted.
Termination does not affect rights in musical works or other finished productions that you lawfully created while your license was valid, provided those productions otherwise comply with this Agreement and any applicable third-party license terms.
The Products are provided subject to all warranties, guarantees, conformity obligations, and other rights that cannot be excluded under applicable law.
To the maximum extent permitted by applicable law, the Products are otherwise provided "as is" and "as available", without additional warranties beyond those expressly stated by us.
We do not guarantee that a Product will operate without interruption or error in every possible configuration or that it will remain compatible with every future hardware, software, third-party product, or service configuration.
We are not responsible for changes made by third-party manufacturers or service providers to their products, licensing systems, activation systems, services, or technical requirements, except to the extent responsibility cannot lawfully be excluded.
Nothing in this Agreement excludes or limits our liability for intent, gross negligence, injury to life, body, or health, or any other liability that cannot lawfully be excluded or limited.
In cases of ordinary negligence, we shall be liable, to the extent permitted by applicable law, only for breach of a material contractual obligation whose performance is essential for the proper execution of this Agreement and on whose performance you may regularly rely. In such cases, liability shall be limited to the damage that was reasonably foreseeable and typical for this type of agreement.
To the extent permitted by applicable law, we shall not otherwise be liable for indirect, incidental, special, consequential, or similar damages arising from the use of or inability to use a Product.
Any mandatory statutory liability, including liability under applicable product-liability law, remains unaffected.
If you are a consumer, you may have mandatory rights under the laws applicable in your country of residence.
Nothing in this Agreement is intended to exclude, restrict, or waive rights that cannot legally be excluded, restricted, or waived.
If any provision of this Agreement conflicts with mandatory applicable law, the mandatory law takes precedence to the extent of that conflict.
This Agreement shall be governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
If you are a consumer, this choice of law does not deprive you of the protection afforded to you by mandatory provisions of the law of the country in which you have your habitual residence where such provisions apply notwithstanding this choice of law.
We may update this Agreement from time to time for future acquisitions, future Product versions, new Products, changes in our services, technical developments, or changes in applicable law.
Unless permitted by applicable law or expressly agreed with you, a later version of this Agreement will not retroactively remove or materially reduce license rights already granted to you for a Product acquired under an earlier version of this Agreement.
The version of this Agreement applicable to a particular acquisition will generally be the version made available in connection with that Product or otherwise in effect when you acquired the Product, unless a valid later agreement applies.
Updates that are solely beneficial to you or that are required to comply with mandatory law may apply as permitted by applicable law.
This Agreement is made available on our website in a form that may be viewed, saved, and printed.
We recommend retaining a copy of the version applicable to your Product acquisition for your records.
If any provision of this Agreement is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
Where legally permissible, an invalid or unenforceable provision shall be interpreted in a manner that most closely reflects its lawful purpose. Mandatory statutory rules shall apply where required.
This Agreement constitutes the agreement between you and the Licensor concerning the licensing and permitted use of the Products.
It does not replace or modify the terms governing the purchase transaction between you and FastSpring, Native Instruments, or another authorized seller, reseller, distributor, marketplace, or sales channel.
It also does not replace or modify the license terms governing any separately licensed third-party product, software, service, or content.
If separate or additional license terms are expressly provided for a particular Product, those terms will apply to that Product to the extent that they differ from this Agreement.
